- TERMS OF REFERENCE FOR STRATEGIC LEADERSHIP AND OVERSIGHT TRAINING TIMB, in line with its mandate to promote sound corporate governance and effective institutional stewardship, seeks to conduct Strategic Leadership and Oversight Training for its Board members. The training is intended to strengthen the Board-s capacity to provide strategic direction, exercise effective oversight over organizational performance, risk and resources, and discharge its fiduciary, statutory and ethical responsibilities in accordance with applicable laws and good governance principles in Zimbabwe. SCOPE: The training shall cover, but not be limited to, the following key areas of strategic leadership and Board oversight: Strategic leadership and direction setting, including the role of the Board in defining institutional vision, priorities and long-term strategic objectives. Fiduciary duties, governance responsibilities and accountability of Board members in the discharge of their oversight mandate. The legal and regulatory framework applicable to Board operations in Zimbabwe, including compliance obligations and good governance standards. Oversight of strategy implementation and organizational performance, including monitoring of key deliverables, results and accountability mechanisms. Risk governance, internal controls and assurance, with emphasis on the Board-s role in identifying, monitoring and responding to strategic and operational risks.
