• Expression of Interest are invited for Transaction Advisory Services to assist in the partial privatisation of Allied Timbers. REQUEST FOR EXPRESSIONS OF INTEREST Consulting Services 06 February 2020 EOI 01/2020 - Transaction Advisory Services to assist in the partial privatisation of Allied Timbers . The Government of Zimbabwe has received grants from the African Development Fund towards the cost of Institutional Support for State Enterprises Reform and Delivery Project (ISERDP), and intends to apply part of the agreed amount for these grants to payments under the contract for Transaction Advisory Services to assist in the partial privatization of Allied Timbers of Zimbabwe (ATZ). The objective of this assignment is to enlist private sector participation in support of a growing ATZ to mobilise funds to: (1) Fund capital investment outlay; and (2) Ensure competitive product offering. In order to realize the above benefits, the Transaction Advisor will assist in developing a capital raising strategy to sustain capital and operational expenditures and recommend suitable strategic partner(s) with the following characteristics: Capacity to inject suitable capital to revamp the business; Relevant experience in the forestry and timber business as an industry player/investor; Bring technological upgrade to the business and skills transfer; and Vision congruence. The services will include: (a) Financial due diligence and Company Analysis ;(b) Legal due diligence on Allied Timbers ;(c) Financial Review; (d) Value the business and submit the valuation report; (e) Develop privatisation strategy and recommend the mode of privatisation for the enterprise and a strategy to carry out the partial privatization; (f) Oversee and manage the investor bidding process (Assist Government of Zimbabwe to negotiate sale and purchase; and (g) Preparation of relevant documentation. The Government of Zimbabwe, through the Ministry of Finance and Economic Development, now invites eligible consultancy firms to indicate their interest in providing these services. Interested consultants must provide information indicating that they are qualified to perform the services (brochures, description of similar assignments, experience similar conditions, availability of appropriate skills among staff, etc.). Consultants may constitute joint ventures to enhance their chances of qualification. Eligibility criteria, establishment of the short-list and the selection procedure shall be in accordance with the African Development Bank’s ’Procurement Policy for Bank Group Funded Operations’, dated October 2015, which is available on the Bank’s website at http://www.afdb.org.
